These Terms of Service (“Terms”) govern your access to and use of the website, platform, software, tools, data, content, and related services made available by Reportive Inc (“GetMentions AI,” “we,” “our,” or “us”).

By accessing or using the Services, creating an account, starting a trial, placing an order, or clicking to accept these Terms, you agree to be bound by them. If you are using the Services on behalf of a company, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “Customer” refer to that entity.

If you do not agree to these Terms, do not use the Services.

2. Scope of Services

GetMentions AI is a software platform designed to help users monitor and analyze brand visibility across selected AI platforms, prompts, citations, competitors, markets, and related opportunities.

The Services may include features for:

  • AI visibility tracking
  • Citation intelligence
  • Sentiment analysis
  • Competitor benchmarking
  • Prompt generation and management
  • Opportunity discovery
  • Workflow and order management
  • Related reporting, exports, and analytics

The exact features, limits, and entitlements included in your plan may vary based on your subscription, free trial, order form, checkout page, or other commercial terms made available to you at purchase or signup.

We may update, improve, modify, or discontinue parts of the Services from time to time, provided that we do not materially reduce the core functionality of a paid subscription during its current term.

3. Business Use

The Services are intended for business and professional use. You may use the Services only in connection with your own internal business operations, unless we expressly agree otherwise in writing.

You may not resell, sublicense, rent, lease, timeshare, white-label, or otherwise make the Services available to third parties except as expressly permitted by us in writing.

4. Accounts

To access certain features, you may need to create an account. You agree to provide accurate and complete information and to keep that information up to date.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Ensuring that your users comply with these Terms
  • Promptly notifying us of any unauthorized access or suspected security incident involving your account

We may suspend or restrict access if we reasonably believe your account is being used in violation of these Terms or in a way that threatens the security, integrity, or operation of the Services.

5. Free Trials

We may offer free trials or limited free access. Trial access is provided for evaluation purposes only and may be subject to plan limits, feature restrictions, usage caps, or time limits.

Unless otherwise stated, we may modify or terminate a free trial at any time.

If you convert from a free trial to a paid subscription, your subscription will begin under the pricing and billing terms presented at checkout or in your order documentation.

6. Subscriptions, Billing, and Renewal

Paid access to the Services is provided on a subscription basis.

Your subscription terms, including pricing, billing interval, included limits, refresh cadence, and applicable overages or restrictions, will be described on the pricing page, checkout page, order form, invoice, or other commercial documentation provided by us.

Unless otherwise stated:

  • Subscriptions are billed in advance
  • Fees are non-refundable except as required by law or expressly stated otherwise
  • You authorize us and our payment processors to charge all applicable fees, taxes, and renewals to your selected payment method
  • Subscriptions renew automatically for successive terms equal to the initial term unless canceled before renewal

If payment cannot be completed, we may suspend or terminate your access to the Services.

You are responsible for all applicable taxes, duties, levies, or similar governmental charges, excluding taxes based on our net income.

7. Plan Limits and Usage

Your use of the Services is subject to the limits included in your plan, which may include limits on:

  • Prompt volume
  • Brands
  • Markets
  • Users
  • Workspaces
  • Refresh cadence
  • Exports
  • Workflows
  • Order volume
  • Other usage-based metrics

You may not circumvent plan limits or access controls.

If you exceed your plan limits, we may restrict usage, require you to upgrade, charge applicable overage fees where disclosed, or suspend access until your usage returns within permitted limits.

8. Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation
  • Infringe or misappropriate any intellectual property, privacy, publicity, or other rights
  • Upload, submit, or transmit unlawful, defamatory, fraudulent, harmful, or deceptive content
  • Interfere with or disrupt the Services or related systems
  • Attempt to gain unauthorized access to the Services or related accounts, networks, or infrastructure
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, trade secrets, or underlying models from the Services, except where prohibited by law
  • Use automated methods to access the Services in a manner that exceeds permitted usage or bypasses access restrictions
  • Use the Services to build or train a competing product or service
  • Remove or alter proprietary notices
  • Use the Services to store or transmit malicious code, malware, or harmful content
  • Misrepresent your identity or affiliation
  • Use the Services in a way that could create legal liability for us or impair the Services for others

We may investigate violations and suspend or terminate access where we reasonably believe a violation has occurred.

9. Customer Data

You may submit content, prompts, brand information, domains, competitor data, notes, files, and other materials through the Services (“Customer Data”).

As between you and GetMentions AI, you retain ownership of your Customer Data.

You grant us a non-exclusive, worldwide, limited license to host, copy, process, transmit, display, and otherwise use Customer Data as necessary to:

  • Provide and maintain the Services
  • Support and troubleshoot the Services
  • Enforce these Terms
  • Comply with applicable law
  • Improve the Services in aggregated or de-identified form, where permitted by law and our agreements

You are responsible for ensuring that you have all rights, permissions, and lawful bases necessary to provide Customer Data to us and to allow us to process it under these Terms.

10. Privacy and Data Processing

Our Privacy Policy explains how we collect, use, and disclose personal data when acting as a controller.

To the extent we process personal data on your behalf as a processor or service provider, such processing will be governed by our applicable data processing terms or separate data processing agreement, where required.

11. Third-Party Services and AI Platforms

The Services may rely on or interact with third-party services, data providers, payment processors, hosting providers, analytics tools, and third-party AI platforms.

We do not control third-party services or third-party AI platforms and are not responsible for their availability, output, behavior, policy changes, pricing changes, or security practices.

We may add, remove, replace, or modify supported third-party AI platforms, integrations, or external dependencies where reasonably necessary to operate or improve the Services.

12. AI Outputs and Platform Results

Because the Services may involve third-party AI platforms, model-generated content, citations, classifications, recommendations, monitoring outputs, or other automated analysis, you acknowledge that:

  • Outputs may be incomplete, inaccurate, delayed, inconsistent, or unavailable
  • Outputs may vary over time, across geographies, across users, and across AI platforms
  • Similar or identical outputs may be generated for other users
  • Results may depend on third-party systems outside our control
  • The Services do not guarantee any particular ranking, citation, visibility outcome, brand mention, or business result

You are solely responsible for evaluating and verifying outputs before relying on them.

The Services are not legal, financial, tax, medical, or other professional advice.

13. Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that should reasonably be understood to be confidential, including business, technical, product, security, pricing, and customer information.

The receiving party will:

  • Use Confidential Information only as necessary to exercise its rights or perform its obligations under these Terms
  • Protect Confidential Information using reasonable care
  • Not disclose Confidential Information to third parties except to employees, contractors, advisors, or service providers who need to know it and are bound by confidentiality obligations

Confidential Information does not include information that:

  • Is or becomes public through no fault of the receiving party
  • Was already lawfully known to the receiving party without restriction
  • Is lawfully received from a third party without breach of obligation
  • Is independently developed without use of the disclosing party’s Confidential Information

A party may disclose Confidential Information if required by law, regulation, subpoena, or court order, provided it gives notice where legally permitted.

14. Intellectual Property

We and our licensors retain all right, title, and interest in and to the Services, including all software, technology, interfaces, workflows, designs, documentation, reports, trademarks, content, and related intellectual property, other than Customer Data.

No rights are granted to you except the limited rights expressly set out in these Terms.

If you provide feedback, suggestions, ideas, or recommendations regarding the Services, we may use them without restriction or obligation to you.

15. Service Availability and Support

We will use commercially reasonable efforts to make the Services available and functional during the term of your subscription.

Scheduled maintenance, emergency maintenance, security events, third-party outages, internet failures, and events outside our reasonable control may affect availability.

Unless otherwise agreed in writing, we provide standard support through our normal support channels. We may define support processes, response priorities, and support scope in separate documentation or policies.

16. Suspension

We may suspend or restrict access to the Services, in whole or in part, if:

  • You fail to pay fees when due
  • You breach these Terms
  • Your use poses a security, legal, or operational risk
  • Suspension is necessary to prevent harm to us, the Services, or other users
  • We are required to do so by law or a governmental authority

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before suspension.

17. Term and Termination

These Terms begin when you first accept them or use the Services and continue for as long as you access or use the Services.

For paid subscriptions, the applicable subscription term will be the term selected at purchase or set out in the applicable order documentation.

You may stop using the Services at any time. If you wish to avoid renewal charges, you must cancel before the renewal date.

We may terminate or suspend these Terms or your access to the Services immediately if:

  • You materially breach these Terms
  • You fail to pay fees when due
  • Required by law
  • Continued provision of the Services would create legal, security, or operational risk

Upon termination or expiration:

  • Your right to use the Services ends
  • We may disable access to your account and Customer Data
  • Accrued payment obligations remain due
  • Sections that by their nature should survive will survive

18. Warranties Disclaimer

Except as expressly stated in these Terms, the Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that any data, output, or results will be accurate, complete, or suitable for your purposes.

19. Limitation of Liability

To the maximum extent permitted by law:

  • We will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages
  • We will not be liable for lost profits, lost revenues, lost business, lost goodwill, lost data, or interruption of business
  • Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount paid by you to us for the Services during the twelve months preceding the event giving rise to the claim

The exclusions and limits above apply whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if we were advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law.

20. Indemnification

You will defend, indemnify, and hold harmless GetMentions AI, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • Your Customer Data
  • Your use of the Services in violation of these Terms
  • Your violation of applicable law
  • Your infringement or misappropriation of third-party rights

We may participate in the defense at our own expense, and you may not settle any claim in a way that imposes liability or obligations on us without our prior written consent.

21. Export and Sanctions Compliance

You may not use the Services in violation of export control, sanctions, or trade laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, and that you are not listed on any applicable government restricted party list.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules.

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.

23. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last Updated” date.

If you continue to use the Services after the updated Terms become effective, you agree to the revised Terms.

24. General

These Terms, together with any applicable order form, pricing page, checkout terms, privacy policy, data processing agreement, and other documents expressly incorporated by reference, form the entire agreement between you and GetMentions AI regarding the Services.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision is not a waiver of that provision.

You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all your assets. We may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.

These Terms do not create any agency, partnership, joint venture, employment, or fiduciary relationship between the parties.
